There was Mark, a businessman who worked very hard to build his business. He did what had to be done time after time, and after some years of hard work and many trials and tribulations had a good thing going. One night he comes home and his wife, Kelly, tells him she wants a divorce, we have “grown apart” she says. (That usually means is that she found someone else.) Mark is sad but goes about his business and the divorce papers arrive. Kelly wants one-half of the business. His attorney tells him that she CAN demand that, because they didn’t have a pre-nuptial and, he built the business while they where married. (read below on how to get them to sign pre-nuptial or post nuptial agreements) Mark gives in and agrees to the terms and is granted the divorce. The ex-wife requests a board of directors meeting (she now owns ½ of the company) and, elects herself to the board, then starts asking for compensation, spending cuts, a greater distribution of profits, and data to review guy’s salary as the President. On top of that she starts demanding the Mark’s salary is unreasonable, and should be cut too. Tens of thousands of dollars in legal fees later Kelly forces him into buying her out (that was her plan the entire time). She gets much more than her part is worth because Mark doesn’t want her selling to some other person who might be worse, if that could be possible. Conclusion: Mark ends up having to buy his own business back from his ex at an highly inflated price. Actually, it could have been worse, Kelly could have wanted to stay on the board and become active in the day to day management, messing with him every day. Mark got screwed by not thinking ahead and using any one of a number of strategies which could have easily prevented this problem and left him in complete control. No buyout. No payments. More cash flow for him to work with or better yet, PLAY with! The attorney was right, Kelly can claim ½ of the business, but the attorney’s advice stopped there, as it often does, because Divorce attorneys are not business strategists. |
